Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern access to and use of the Everon Employee Portal and the related enrollment experience reached from an invitation sent by, or on behalf of, your employer (together, the "Portal"). The Portal enables eligible employees and their dependents to review and complete benefits enrollment, make and change benefit elections, view coverage and documents, and, where applicable, view invoices and manage payments for benefits programs offered through the XGB and EHP vendor relationships and other programs made available on the Portal (collectively, the "Vendor Programs"). By registering for, accessing, or using the Portal, you agree to be legally bound by these Terms. If you do not agree, you must not access or use the Portal.

Everon reserves the right to modify these Terms at any time. Continued use of the Portal after any such modification constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

2. Definitions

  • "Employer" or "Plan Sponsor" means the employer group that invited you to the Portal and that sponsors, or has applied for, the benefits in which you may enroll.
  • "Member" or "you" means the individual employee (or other eligible individual) who accesses the Portal under an invitation from an Employer.
  • "Dependent" means a spouse, domestic partner, child, or other individual whose information you submit through the Portal for coverage purposes.
  • "Enrollment Information" means the information you or your Employer provide through the Portal in connection with eligibility and enrollment, including names, dates of birth, Social Security numbers, contact information, employment details, benefit elections, beneficiary designations, and health-related information such as responses to a medical questionnaire.
  • "Vendor Programs" means the benefits programs, carriers, plan administrators, and related services made available through the Portal, including those offered through XGB and EHP.
  • "Non-Everon Parties" means any person or entity other than Everon Technologies LLC — including, without limitation, your Employer, XGB, EHP, insurance carriers, third-party administrators, underwriters, payment processors, and the independent agents and affiliates who assist your Employer.
  • "Everon" means Everon Technologies LLC, the company operating the Portal, and is used interchangeably with "we", "us", and "our".

3. Eligibility, Registration, and Account Security

Access to the Portal is by invitation only. You may create an account only if you have received an invitation from, or on behalf of, an Employer and you are at least 18 years of age (or the age of majority in your jurisdiction). You agree to provide accurate, current, and complete information when you register and to keep it up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must not share your credentials or allow any other person to access the Portal using your account. You agree to notify Everon promptly of any unauthorized use of your account or other security incident at legal@everon.tech.

Everon may suspend or terminate your access if we reasonably believe your account has been compromised or is being used in violation of these Terms.

4. Portal Functions

Depending on your Employer's configuration and the applicable Vendor Program, the Portal may allow you to:

  • Review the benefits your Employer has made available to you and complete enrollment;
  • Confirm or correct your personal information and add or update Dependents;
  • Complete health or eligibility questionnaires required by a Vendor Program;
  • Make benefit elections, decline coverage, and request election changes when a qualifying event occurs;
  • Electronically sign enrollment forms, authorizations, and acknowledgments;
  • View coverage details, plan documents, and other documents made available to you;
  • Where applicable, view invoices and statements, add or remove payment methods, and make payments; and
  • Manage your notification preferences.

Everon may add, change, or remove Portal features at any time. Some features are provided by, or depend on, Non-Everon Parties and may not be available to every Member.

5. Your Enrollment Information and Responsibilities

You represent and warrant that all Enrollment Information you submit is true, accurate, and complete, and that you have the authority and any consents required to submit information about your Dependents. Inaccurate or incomplete Enrollment Information may result in delayed or denied coverage, rescission of coverage, or other consequences determined by the applicable Vendor Program, and Everon has no responsibility for such consequences.

Where the Portal collects health-related information, you understand that your responses are provided to the applicable Vendor Program and its carriers, administrators, or underwriters for eligibility and underwriting purposes, and that knowingly providing false information may have legal consequences.

You are responsible for reviewing your elections before you submit them and for reviewing any confirmation documents made available to you. Enrollment deadlines, election-change windows, and eligibility rules are set by your Employer and the Vendor Programs, not by Everon.

6. Electronic Signatures and Communications

By using the Portal you consent to transact electronically. Electronic signatures and acknowledgments you provide through the Portal have the same legal effect as handwritten signatures to the fullest extent permitted by law, including under the U.S. Electronic Signatures in Global and National Commerce Act. You consent to receive notices, confirmations, and other communications about your enrollment electronically, including by email to the address on your account. Text-message notifications are optional and are governed by the separate SMS terms presented when you opt in.

You may request a paper copy of a document made available through the Portal, or withdraw your consent to electronic delivery, by contacting legal@everon.tech. Withdrawing consent may limit your ability to use the Portal.

7. Payments

Where your Employer or Vendor Program bills you directly through the Portal, you authorize Everon and its payment processors to charge the payment method you provide for the amounts shown on your invoices and statements. Payment methods are processed by third-party payment processors; Everon does not store full card numbers. You are responsible for keeping a valid payment method on file and for any fees imposed by your bank or card issuer. A failed or late payment may affect your coverage according to the rules of the applicable Vendor Program.

Everon does not set premiums or contribution amounts, determine what is owed, or decide whether coverage continues; those determinations are made by your Employer and the Vendor Programs. Billing questions should be directed to the contact identified on your invoice or statement.

8. Everon's Role; No Benefits, Legal, or Medical Advice

Everon provides the technology platform that hosts the Portal. Everon is not an insurer, a plan sponsor, a plan administrator, a fiduciary, a broker, or a healthcare provider, and does not make coverage, eligibility, underwriting, or claims decisions. Information on the Portal is provided for your convenience and does not constitute benefits, tax, legal, financial, or medical advice. Plan documents and the terms of the applicable Vendor Program control in the event of any conflict with information displayed on the Portal.

9. Prohibited Conduct

You agree not to:

  • Access or attempt to access another person's account or information;
  • Submit information about any person you are not authorized to represent;
  • Use the Portal for any unlawful, fraudulent, or misleading purpose;
  • Probe, scan, or test the vulnerability of the Portal, bypass any security or authentication measures, or introduce malicious code;
  • Scrape, harvest, or copy Portal content or data by automated means;
  • Interfere with or disrupt the operation of the Portal or the servers or networks that support it; or
  • Use the Portal in violation of any applicable law or these Terms.

10. Intellectual Property

The Portal, including its software, design, text, graphics, logos, and other content (excluding your Enrollment Information and documents provided by Non-Everon Parties), is owned by Everon or its licensors and is protected by intellectual property laws. Everon grants you a limited, revocable, non-exclusive, non-transferable license to use the Portal for your personal benefits administration in accordance with these Terms. No other rights are granted.

11. Confidentiality and Data Protection

Everon's collection, use, and disclosure of your personal information, including health-related information, is described in the Employee Portal Privacy Policy, which is incorporated into these Terms by reference. Everon maintains administrative, technical, and physical safeguards designed to protect Enrollment Information, and processes Enrollment Information on behalf of your Employer and the applicable Vendor Programs in accordance with applicable law and the agreements between those parties.

12. Term and Termination

These Terms remain in effect while you use the Portal. You may stop using the Portal at any time. Your Employer or the applicable Vendor Program may deactivate your access when your employment or eligibility ends. Everon may suspend or terminate your access at any time for violation of these Terms, for security reasons, or upon instruction from your Employer or a Vendor Program. Sections 5, 8, and 10 through 18 survive termination. Termination of Portal access does not by itself change your coverage; coverage questions should be directed to your Employer or the applicable Vendor Program.

13. Non-Everon Communications; No Endorsement or Responsibility

You may receive communications from your Employer, the Vendor Programs, carriers, administrators, agents, and other Non-Everon Parties in connection with your benefits, whether through the Portal or otherwise. Everon does not control, endorse, verify, or assume responsibility for the content, accuracy, or timeliness of any communication, document, or representation made by a Non-Everon Party, and is not a party to any agreement between you and a Non-Everon Party. Your dealings with Non-Everon Parties are solely between you and them.

14. Disclaimer of Warranties

THE PORTAL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. EVERON DOES NOT WARRANT THAT THE PORTAL WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION PROVIDED BY A NON-EVERON PARTY IS ACCURATE OR COMPLETE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EVERON AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF COVERAGE, BENEFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PORTAL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EVERON'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE PORTAL WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

16. Indemnification

You agree to indemnify and hold harmless Everon and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the Portal, or any inaccurate or unauthorized Enrollment Information you submit.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Portal that cannot be resolved informally shall be resolved by binding arbitration in Florida administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. You and Everon each waive the right to a jury trial and to participate in a class action. You may opt out of this arbitration provision by emailing legal@everon.tech within 30 days of first accepting these Terms. Nothing in this section limits any rights you have under your Employer's plan documents or applicable benefits law to appeal a coverage or claims decision made by a Vendor Program.

18. General Provisions

These Terms, together with the Employee Portal Privacy Policy and any SMS terms you accept, constitute the entire agreement between you and Everon regarding the Portal. If any provision is held unenforceable, the remaining provisions remain in effect. Everon's failure to enforce any provision is not a waiver. You may not assign these Terms; Everon may assign them in connection with a merger, acquisition, or sale of assets. Section headings are for convenience only.
